DISCUSSION: Ben Woods, TAC Vice Chairman, and MPO Staff informed the Policy Committee of issues concerning the TAC Bylaws relating to TAC membership, attendance, and quorum requirements at the August 10th Policy Committee Meeting. Staff was directed to develop options recommending changes to the TAC Bylaws . These four options are reflected within the attached exhibits and will be formally presented at the meeting. Each option has a cover sheet which provides a brief summary of the proposed changes . LAS CR METROPOLITAN PLANNING ONIZATION RESOLUTION NO. 94-009 AN AMENDMENT TO THE BYLAWS AND OPERATING PROCEDURES FOR THE TECHNICAL ADVISORY COMMITTEE (TAC) OF THE LAS CRUCES METROPOLITAN PLANNING ORGANIZATION (MPO) . The Las Cruces Metropolitan Planning Organization' s Policy Committee is informed that : WHEREAS, the Policy Committee of Las Cruces Metropolitan Planning Organization amended and approved the Bylaws and Operating Procedures of the Technical Advisory Committee (TAC) on January 15, 1991, and; WHEREAS, the Policy Committee of the Las Cruces Metropolitan Planning Organization has the authority to amend the Bylaws and Operating Procedures for the TAC, as the Policy Committee deems necessary, and; THE MPO POLICY COMMITTEE FINDS THAT it appears to be in the best interest of the MPO that the amendment be APPROVED and ACCEPTED by the Policy Committee . NOW, THEREFORE, the Policy Committee of the Las Cruces Metropolitan Planning Organization, determines, orders and resolves as follows : (I) THAT the Bylaws and Operating Procedures for the Technical Advisory Committee of the Las Cruces MPO be amended to reflect the changes within the attached Exhibit "A" . Responsibilities The Technical Advisory Committee is established by the Las Cruces Metropolitan Planning Organization and shall be responsible for providing technical review of all transportation plans within the urban area and input to the MPO Policy Committee on issues directed to it by its membership, the Policy Committee, or the MPO Officer. Other responsibilities shall include those as may be designated from time to time by the MPO Policy Committee . III . Membership Membership in the Technical Advisory Committee shall be governed by the most recent Joint Powers Agreement between the City of Las Cruces, Town of Mesilla and Dona Ana County which establishes the Metropolitan Planning Organization. Alternate Member Each representative from an agency or board may appoint an alternate to the TAC to serve when the appointed member cannot attend. The agency or board shall submit a letter to the MPO Officer designating the alternate member. D. Officers The officers of the Technical Advisory Committee shall consist of a Chairman, Vice Chairman, and a Secretary. 1 . Chairman The Chairman shall be chosen from among the members of the Technical Advisory Committee at its first meeting in January of each year. The Chairman shall be responsible for presiding at all meetings . 2 . Vice Chairman The Vice Chairman shall also be selected from among the members of the Technical Advisory Committee at the first meeting in January and shall be responsible for presiding at the meetings in the absence of the Chairman. 3 . Secretary The MPO Officer shall be the secretary and shall have the responsibility for maintaining accurate records of all Technical Advisory Committee meetings, preparing agendas, and such other duties as may be designated from time to time by the Technical Advisory Committee with consent from the MPO Policy Committee . Meetings Meetings shall be pursuant to due notices as established by and required under the New Mexico Open Meetings Act, and the Open Meetings Resolution adopted annually by the Las Cruces Metropolitan Planning Organization. Meetings shall be held from time to time on as needed basis, and may be called by the Chairman or the MPO Officer. A. Quorum A quorum of the Technical Advisory Committee shall ...::;;;;; ;... consist of a majority ( o < � of the z�� ve members . No action shall be taken without a quorum of the TAC in attendance at that meeting. Any actions of the TAC requires a majority of voting members in attendance to be approved. B. Active Member Attendance is required at all TAC Meetings . An active member is a member that has attended seventy-five (75) percent of the meetings in a twelve-month calendar period. If a TAC member fails to attend seventy-five (75) percent of the TAC meetings in a twelve-month calendar period, his membership shall be terminated automatically. 2 . If a TAC member shall vacate the office by nonattendance, the chairman of the TAC shall notify the MPO Policy Committee in writing of same . A replacement member shall then be appointed. In the event that the TAC member who has been absent from official meetings, sufficient to qualify for removal is the chairman of the TAC, the removal process shall be conducted by the vice chairman, or if the vice chairman is unable to participate, then by any other TAC member. In the event of a dispute concerning the abandonment or vacation of a TAC office by a TAC member, the TAC member affected by petition the MPO Policy Committee to be allowed an opportunity to show cause why he should not be removed from office . The MPO Policy Committee may remove any TAC member by the affirmative vote of five (5) members upon the grounds of malfeasance or nonfeasance of office or for any reason whatsoever upon the affirmative vote of all of the members . D. Voting Procedure 1 . The method of taking a vote is viva voce (by the voice) . The vote is taken by a "show of hands" , or by "raising the right hand" . 2 . Other methods of voting are by rising; by ballot; by roll call, or "yeas and nays" ; by general consent; and by mail . 3 . The responsibility of announcing, the vote rests upon the chair, and therefore, has the right to have the vote taken again, by rising, if in doubt as to the result, and to have the vote counted, if necessary. 4 . The vote cannot be taken by ballot or by yeas and nays (roll call) unless it is required by the rules or by a vote of the committee . Organization The name of this organization shall be the Technical Advisory Committee (TAC) of the Las Cruces Metropolitan Planning Organization. II . Responsibilities The Technical Advisory Committee is established by the Las Cruces Metropolitan Planning Organization and shall be responsible for providing technical review of all transportation plans within the urban area and input to the MPO Policy Committee on issues directed to it by its membership, the Policy Committee, or the MPO Officer. Other responsibilities shall include those as may be designated from time to time by the MPO Policy Committee . III . Membership Membership in the Technical Advisory Committee shall be governed by the most recent Joint Powers Agreement between the City of Las Cruces, Town of Mesilla and Dona Ana County which establishes the Metropolitan Planning Organization. A. Non-Voting Members Members of the TAC currently include one representative designated by the Bureau of Land Management, one representative designated by the State Land Office, and one representative designated by the Las Cruces Area Transit Board. C. Alternate Member Each representative from an agency or board may appoint an alternate to the TAC to serve when the appointed member cannot attend. The agency or board shall submit a letter to the MPO Officer designating the alternate member. D. Officers The officers of the Technical Advisory Committee shall consist of a Chairman, Vice Chairman, and a Secretary. 1 . Chairman The Chairman shall be chosen from among the members of the Technical Advisory Committee at its first meeting in January of each year. The Chairman shall be responsible for presiding at all meetings . 2 . Vice Chairman The Vice Chairman shall also be selected from among the members of the Technical Advisory Committee at the first meeting in January and shall be responsible for presiding at the meetings in the absence of the Chairman. 3 . Secretary The MPO Officer shall be the secretary and shall have the responsibility for maintaining accurate records of all Technical Advisory Committee meetings, preparing agendas, and such other duties as may be designated from time to time by the Technical Advisory Committee with consent from the MPO Policy Committee . Meetings Meetings shall be pursuant to due notices as established by and required under the New Mexico Open Meetings Act, and the Open Meetings Resolution adopted annually by the Las Cruces Metropolitan Planning Organization. Meetings shall be held from time to time on as needed basis, and may be called by the Chairman or the MPO Officer. A. If a TAC member fails to attend seventy-five (75) percent of the TAC meetings in a twelve- month calendar period, his membership shall be terminated automatically. 2 . If a TAC member shall vacate the office by nonattendance, the chairman of the TAC shall notify the MPO Policy Committee in writing of same . A replacement member shall then be appointed. In the event that the TAC member who has been absent from official meetings, sufficient to qualify for removal is the chairman of the TAC, the removal process shall be conducted by the vice chairman, or if the vice chairman is unable to participate, then by any other TAC member. D. Voting Procedure 1 . The method of taking a vote is viva voce (by the voice) . The vote is taken by a "show of hands" , or by "raising the right hand" . 2 . Other methods of voting are by rising; by ballot ; by roll call, or "yeas and nays" ; by general consent ; and by mail . 3 . The responsibility of announcing, the vote rests upon the chair, and therefore, has the right to have the vote taken again, by rising, if in doubt as to the result, and to have the vote counted, if necessary. 4 .
